The Deal That Walked in the Door

We are Commercial Lending Solutions, a commercial mortgage brokerage based in Los Angeles, and this deal came to us after our client, a private investor based in the Los Angeles area, had already moved fast to lock down a net-leased industrial property in Tulare, California, in the Central Valley. The property, a fully renovated office and truck yard on a 4.83-acre site, was leased on a 15-year absolute net basis to a national logistics tenant with an investment-grade guarantor standing behind the lease, at $240,000 per year with 3% annual increases and two five-year extension options.

To move quickly on the $3,850,000 purchase, our client closed using two private money notes rather than waiting on an institutional underwrite, then came to us to arrange a $2,500,000 permanent takeout that would retire that bridge debt with a lower-cost, credit-union-sized loan. Commercial Lending Solutions specializes in bridge-to-permanent takeouts and net-lease industrial financing for investors across California.

What Made It Hard

  • Two separate private liens to retire simultaneously. The acquisition had been funded with a $1,500,000 note from one private lender and an $870,000 note from a second private lender, both recorded the same day as the purchase, meaning the takeout had to coordinate payoff demands and reconveyances from two unrelated parties at once.
  • A credit union that needed its own current valuation. Rather than relying on the recent purchase price, a Ventura County-based credit union ordered a fresh third-party appraisal in its own name, along with its own environmental and property condition due diligence, adding a full underwriting cycle on top of the acquisition that had just closed.
  • An out-of-market property for a Los Angeles-based borrower. Tulare sits in the Central Valley, roughly 175 miles from our client's home base, requiring us to build a lending package that gave the credit union confidence in a submarket well outside the borrower's usual footprint.

How We Ran the Process

Trevor Damyan, a California-licensed real estate broker (CA DRE 02244836), placed the permanent takeout with a Ventura County-based credit union, working through the credit union's commercial correspondent on the file:

  • A fresh appraisal ordered directly in the credit union's name, confirming the property's value at $3,850,000 as is, consistent with the November 2022 purchase price, based on the in-place net lease income
  • Full third-party due diligence refreshed for the credit union's file, including a current Phase I environmental site assessment and property condition report on the office, warehouse, and truck yard improvements
  • Payoff and reconveyance coordinated across both bridge lenders, clearing the $1,500,000 and $870,000 private notes recorded against the property at acquisition so the credit union could close in first lien position
  • Underwriting built around the in-place lease, with the tenant's 15-year absolute net structure, contractual 3% annual bumps, and extension options giving the credit union a long-dated, growing income stream to underwrite against rather than a speculative re-lease scenario

The refinance closed with both private notes paid off and reconveyed, converting our client's short-term acquisition financing into a permanent, credit-union-held first mortgage secured by the net-leased asset.

"Two private notes closing on the same day meant two payoff demands and two reconveyances had to land at the same closing table. We built the underwriting around the strength of that net lease so the credit union never had to worry about the submarket, only the income."

Why We Won This One

Moving a Los Angeles-based investor's out-of-market Central Valley acquisition to a credit union takeout came down to building underwriting around the strength of the lease rather than the borrower's local footprint. A national tenant on a long-dated absolute net lease with contractual escalations gave the credit union an income profile it could underwrite confidently regardless of submarket, which is what let this permanent loan replace two separate bridge notes in one closing.

Coordinating two unrelated private lenders' payoffs and reconveyances against a single closing date, rather than staggering them, kept the takeout from stalling on either lender's timeline and let our client convert short-term acquisition debt into permanent financing without a gap in coverage.
