The Deal That Walked in the Door

We are Commercial Lending Solutions, a commercial mortgage brokerage based in Los Angeles, and this financing brought us a multi-guarantor ownership group under contract to acquire a 36-unit multifamily property in Los Angeles, CA. The buyers needed a bridge facility sized to close the acquisition quickly, structured with enough built-in reserve capacity to carry the property through a transition period before cash flow could support full debt service coverage on its own. We placed the loan with a national bank. Commercial Lending Solutions specializes in multifamily acquisition bridge loans and construction financing for investors across Los Angeles and nationwide.

Multifamily acquisitions with in-place cash flow that hasn't yet stabilized to a lender's target coverage ratio are a common bridge scenario in Los Angeles, California, and structuring a facility around a pre-funded interest reserve rather than requiring day-one stabilized coverage let the buyers move forward on a competitive acquisition timeline.

What Made It Hard

  • Coordinating guaranties across four parties. With unlimited guarantees required from four separate individuals and a trust, each guarantor's financial documentation, tax returns, personal financial statements, and liquidity verification had to be collected and reviewed in parallel to keep the closing timeline intact.
  • Sizing a real interest reserve rather than a token holdback. The $379,460 pre-funded reserve had to genuinely cover 12 months of interest-only payments on the full loan amount, tying up meaningful capital at closing beyond the acquisition price itself.
  • A variable rate tied to a daily-moving index. With the rate set at Prime plus 1.59% and able to change as often as daily, the buyers had to underwrite the deal's economics against a moving cost of capital rather than a locked number.
"A 12 month interest reserve isn't a formality, it has to actually cover the payments if the property takes longer than planned to stabilize. Getting the bank comfortable with a real reserve, not a token number, is what let this close on the buyer's timeline instead of forcing them to wait for day one coverage."

How We Ran the Process

Trevor Damyan, a California-licensed real estate broker (CA DRE 02244836), placed the acquisition bridge loan with a national bank, with the signed proposal letter dated April 19, 2022:

  • $7,455,000, capped at the lesser of that amount or 70% of total acquisition cost, secured by a first mortgage and assignment of rents on the property plus a first lien on business assets
  • A variable rate of Prime plus 1.59% (5.09% at the time of closing), able to change as often as daily, on a 24-month interest-only term
  • A 0.50% origination fee ($37,275), a $2,000 inspection fee, and all due diligence costs and out-of-pocket expenses borne by the borrower
  • A pre-funded 12-month interest reserve of $379,460 held at the bank, with any draws replenished semi-annually until the property's cash flow from operations reached a 1.25x debt service coverage ratio for six consecutive months
  • A $500,000 compensating balance pre-funded into a savings account at the bank, held for the life of the loan, alongside a required business checking account for property operations
  • Unlimited guarantees from four guarantors, individuals and a family trust, with 2021 tax returns, updated personal financial statements, and liquidity verification confirming $3.3 million in liquid assets required prior to closing
  • Construction inspection rights reserved to the bank at its discretion throughout the loan term, plus the bank's right to file a UCC-1 ahead of closing to secure its priority interest in the collateral
  • All equity required to be injected into the purchase as scheduled, with a firm closing deadline for executed loan documents to keep the acquisition on the sale timeline

The acquisition closed with the interest reserve and compensating balance both fully funded, giving the ownership group a bridge facility structured to carry the property through stabilization without requiring day-one debt service coverage.

Why We Won This One

Structuring the interest reserve as a genuine 12-month cash cushion, rather than a smaller token amount, is what let this bank commit to a property that hadn't yet reached its target coverage ratio. Pairing that reserve with a clear semi-annual replenishment mechanism gave the bank a defined path back to full coverage rather than an open-ended risk, which made the underwriting decision easier on a multi-guarantor deal with a variable rate.

Coordinating four separate guarantors' documentation in parallel, rather than sequentially, kept this acquisition on the seller's timeline. With tax returns, financial statements, and liquidity verification required from multiple parties simultaneously, getting that process moving immediately after the proposal letter was signed avoided a late-stage scramble before the closing deadline.
